These Terms & Conditions govern your access to and use of the Tech on Galaxy website and the services we provide. Please read them carefully before engaging us or using our site.

Introduction & acceptance
These Terms & Conditions ("Terms") govern your access to and use of the website operated by Tech on Galaxy, a full-service digital and creative agency founded in 2018 and headquartered at Burjuman Mall beside BHive, Dubai, United Arab Emirates ("Tech on Galaxy", "we", "us" or "our"), together with any services, proposals or deliverables we provide.
By accessing our website, requesting a proposal or engaging our services, you confirm that you have read, understood and agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our website or services. Where you engage us on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.
Definitions
- "Client", "you" or "your" means the individual or entity that engages Tech on Galaxy.
- "Services" means the digital, creative and marketing services described on our Services page or in a Proposal.
- "Proposal" means any quotation, estimate, statement of work or proposal we issue.
- "Deliverables" means the materials, designs, content, software or other outputs we produce for you.
- "Agreement" means these Terms together with any accepted Proposal.
- "Confidential Information" means non-public information disclosed by either party.
Our services
Tech on Galaxy provides twelve core specialisations: full digital marketing; videography and photography; social media management; performance marketing and media buying; content creation; website development and designing; SEO, AEO, LLMO, GEO, AIO and SXO; Android and iOS web app development; graphics and product designing; TVC commercials and 3D CGI ads; email marketing; and ERO and CRM solutions.
The scope of any engagement is defined solely by the accepted Proposal. Marketing, advertising and search results depend on factors outside our control, so we do not guarantee any specific ranking, traffic, reach or revenue outcome.
Proposals, quotes & scope
Proposals are valid for 14 days from the date of issue unless stated otherwise. A Proposal becomes binding when you accept it in writing or when we begin work at your request. Any work not expressly included in the Proposal is out of scope. We may correct obvious errors or omissions in a Proposal at any time before work begins.
Fees, invoicing & payment
- All fees are exclusive of VAT and any other applicable taxes, which will be added where required by law.
- Unless the Proposal states otherwise, we invoice in advance and at agreed milestones.
- Invoices are payable within 14 days of the invoice date. We may charge interest on overdue amounts and suspend work until payment is received.
- Third-party costs, such as media spend, licences, stock assets, printing and hosting, are billed separately at cost plus any handling fee stated in the Proposal.
- Amounts are stated in United Arab Emirates dirhams (AED) unless the Proposal specifies another currency.
Client responsibilities & approvals
- You will provide, promptly and at no cost to us, the content, information, access, credentials and feedback we reasonably require.
- You confirm that all materials you supply are accurate and do not infringe the intellectual property or other rights of any third party.
- You will review and approve Deliverables within the timeframes agreed in the Proposal.
- Delays in supplying materials or approvals may shift timelines and may result in additional charges.
Revisions & change requests
The number of included revision rounds is stated in the Proposal. Further revisions, or any change to the agreed scope, are treated as a change request and may be quoted separately, charged at our prevailing rates and may affect agreed timelines.
Intellectual property & usage rights
Upon full payment of all fees, we assign to you the ownership of the final approved Deliverables created specifically for you, excluding our pre-existing materials, tools, templates and any third-party assets. We retain ownership of our own know-how and reusable components, and may use them in other projects.
Unless you object in writing, we may display the completed work in our portfolio and marketing materials. Third-party assets remain subject to their own licence terms.
Confidentiality
Each party will keep the other's Confidential Information confidential and use it only to perform the Agreement. This obligation does not apply to information that is public, independently developed, or required to be disclosed by law.
Third-party services & tools
We may use third-party platforms, software, hosting, advertising networks and analytics providers (for example, Google, Meta, Shopify or AWS). Your use of those services may be subject to their own terms, and we are not responsible for their availability, policies or changes.
Limitation of liability
To the maximum extent permitted by UAE law, Tech on Galaxy's total aggregate liability arising out of or in connection with the Agreement is limited to the total fees paid by you for the Services giving rise to the claim in the twelve months preceding the claim.
We are not liable for indirect, incidental, special or consequential losses, including lost profits, revenue, data or goodwill. Nothing in these Terms excludes liability that cannot lawfully be excluded.
Indemnity
You agree to indemnify and hold harmless Tech on Galaxy, its directors, employees and subcontractors against any claims, losses or expenses arising from materials you provide, your breach of these Terms, or your unlawful use of the Deliverables.
Suspension & termination
Either party may terminate the Agreement with 30 days' written notice. We may suspend or terminate immediately if fees are overdue, if you breach the Agreement, or if we are required to do so by law. On termination you must pay for all work performed and third-party commitments made up to the termination date. Clauses that by their nature should survive termination will do so.
Force majeure
Neither party is liable for failure or delay caused by events beyond its reasonable control, including natural disasters, war, civil unrest, strikes, power failures, internet or telecommunications outages, epidemics, or government action. Affected obligations are suspended for the duration of the event.
Governing law & jurisdiction
These Terms and any dispute arising out of or in connection with them are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. The courts of Dubai have exclusive jurisdiction, without prejudice to any mandatory provisions of law that may apply.
Changes to these terms
We may update these Terms from time to time. The current version, with its "Last updated" date, will always be published on this page. Continued use of our website or services after changes take effect constitutes acceptance of the revised Terms.
